  1.                              END USER AGREEMENT
  2.  
  3. BY USING THIS SOFTWARE, YOU AGREE TO ABIDE BY THE TERMS OF THIS END USER
  4. AGREEMENT.
  5.  
  6.     Subject to the terms and conditions provided below, NaviSoft, located at
  7. 8619 Westwood Center Drive, Vienna, Virginia 22182 ("NaviSoft") hereby grants
  8. the following license to you for the NaviPress software (the "Software").
  9.  
  10. 1. Grant of License.  NaviSoft grants to you a non-exclusive,
  11. non-transferable license to install and use the Software on your computer.
  12.  Such license grant is conditioned upon the following limitations: (i) copies
  13. of the Software may be made for backup and archival purposes only; and (ii)
  14. you do not reverse engineer, decompile or disassemble the Software.
  15.  
  16. 2. Term of License.  This license is effective until terminated.  You may
  17. terminate it any time by deleting the Software and all accompanying
  18. documentation and copies thereof from your computer.  This license will
  19. terminate automatically if you fail to comply with any term or condition of
  20. this Agreement.

  22. 3. Intellectual Property.  All rights to the Software and all copyrights,
  23. patents, trademarks, service marks, or other proprietary rights relating
  24. thereto are and shall remain with NaviSoft.  You acknowledge that no rights,
  25. title, or interest in these items is granted under this Agreement.
  26.  Authorized copies of the Software shall contain all copyright notices or
  27. proprietary legends that are contained or embedded in the Software.
  28.  
  29. 4. Limited Warranty.  If the Software was provided on media, NaviSoft
  30. warrants that the media on which the Software is furnished to you is free
  31. from defects in materials and workmanship under normal use for ninety (90)
  32. days after you obtain the Software or NaviSoft will replace the Software.
  33.  EXCEPT AS PROVIDED HEREIN, THE SOFTWARE IS PROVIDED ôAS ISö AND WITHOUT
  34. EXPRESS OR IMPLIED WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO,
  35. IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE,
  36. AND ALL SUCH OTHER WARRANTIES ARE EXPRESSLY DISCLAIMED.

  38. 5.  Limitation of Liability.  IN NO EVENT WILL NAVISOFT BE LIABLE TO YOU OR
  39. ANY OTHER PARTY FOR ANY LOST PROFITS, LOST SAVINGS OR OTHER INDIRECT,
  40. SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, EVEN IF NAVISOFT HAS BEEN
  41. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN NO EVENT SHALL NAVISOFTÆS
  42. LIABILITY EXCEED THE FEE PAID FOR THE SOFTWARE.

  44. 6.  General.  If any provision or part of any provision of this Agreement
  45. shall be held invalid or unenforceable, such part shall be ineffective
  46. without in any way affecting the remaining parts of such provision or the
  47. remaining provisions of this Agreement.  
  48.  
  49. 7.  Additional Terms.  If you also have a license to the NaviServer software,
  50. certain of the terms contained in this Agreement may be superseded by the
  51. terms of the NaviServer license agreement.  Please refer to the NaviServer
  52. license agreement for further information.
  53.  
  54. 8.  Export Compliance. You agree to comply with applicable U.S. export laws
  55. and regulations in connection with the acquisition, use and transfer of the
  56. Software. 
  57.  
  58. 9.  Government End Users.  The Software is subject to Restricted Rights and
  59. is subject to the restrictions set forth in the applicable Federal
  60. Acquisitions Regulations.
  61.  
  62. CERTAIN JURISDICTIONS PROVIDE FOR GREATER RIGHTS THAN WHAT IS PROVIDED IN
  63. THIS AGREEMENT.  YOUR RIGHTS WITH RESPECT TO THIS AGREEMENT MAY VARY
  64. DEPENDING ON YOUR JURISDICTION.
